These terms exist to establish a clear, fair, and transparent foundation for every client relationship. Acceptance of Terms
Agreement
By accessing the Code Nativex website at codenativex.com, requesting a quote, or engaging Code Nativex for any service, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services.
Eligibility
You must be at least 18 years of age and have the legal authority to enter into binding contracts to use our services. By engaging Code Nativex, you represent and warrant that you meet these eligibility requirements. If you are entering into these terms on behalf of a company or organization, you represent that you have the authority to bind that entity.
Services
Scope of Services
Code Nativex provides digital services including web design and development, mobile application development, UI/UX design, graphic design, and search engine optimization (SEO). The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate project agreement, proposal, or statement of work agreed upon by both parties before work commences.
Service Standards
We are committed to delivering high-quality work that meets the specifications agreed upon in the project scope. Code Nativex employs experienced professionals and uses industry-standard tools and practices. However, we do not guarantee specific business outcomes such as sales growth, search engine ranking positions, or application download numbers, as these depend on factors outside our control.
Project Changes
Any changes to the agreed project scope — including additions, modifications, or removals of features, pages, or deliverables — must be agreed upon in writing by both parties. Scope changes may affect the project timeline and pricing. Work on changes will not begin until a written change order or updated agreement has been approved by the client.
Third-Party Services
Many of our projects involve the integration of third-party platforms, APIs, plugins, or services (such as payment gateways, hosting providers, or social media APIs). Code Nativex is not responsible for the availability, performance, pricing changes, or terms of service modifications of any third-party services. We will inform you of any third-party dependencies that form a material part of your project.
Payment Terms
Payment Schedule
Payment terms are defined in the project proposal or agreement. Typically, Code Nativex requires a deposit of 50% of the total project value before work commences, with the remaining balance due upon project completion and before final files or live deployment are delivered. For larger projects, milestone-based payment schedules may be agreed upon.
Invoices and Due Dates
All invoices are due within 7 days of the invoice date unless otherwise specified in the project agreement. Code Nativex reserves the right to pause work on a project if an invoice becomes overdue. Work will resume promptly upon receipt of the overdue payment.
Late Payments
Invoices not paid within the agreed timeframe may incur a late fee. Continued non-payment may result in the project being placed on hold, the withholding of deliverables, or the termination of the engagement. Any costs incurred by Code Nativex in recovering overdue payments, including legal fees, will be the responsibility of the client.
Refund Policy
Because our services involve significant time and expertise investment, deposits are non-refundable once work has commenced. If a project is cancelled by the client after work has begun, the client is liable for payment for all work completed up to the point of cancellation, calculated at our standard hourly rate. If Code Nativex fails to deliver the agreed services without reasonable justification, a partial or full refund may be issued at our discretion.
Intellectual Property
Client Ownership of Final Deliverables
Upon receipt of full and final payment, Code Nativex assigns to the client full ownership of the custom design assets, code, and content created specifically for their project. This assignment covers the final deliverables as defined in the project agreement. The client is free to use, modify, and distribute these deliverables as they see fit.
Third-Party Assets
Some projects may incorporate third-party assets such as stock photography, icon libraries, fonts, or open-source software libraries. These assets remain subject to their own respective licenses. Code Nativex will inform clients of any third-party assets used and any licensing obligations that apply.
Code Nativex Portfolio Rights
Unless explicitly agreed otherwise in writing, Code Nativex reserves the right to display completed work in our portfolio, on our website, and across our social media channels as examples of our capabilities. If a client requires confidentiality regarding their project, this must be communicated and agreed upon in writing before the project commences.
Pre-Existing Intellectual Property
Any tools, frameworks, code libraries, design systems, or methodologies developed by Code Nativex prior to or independently of the client engagement remain the exclusive property of Code Nativex. Clients receive a license to use these as part of their delivered project but do not acquire ownership of the underlying tools.
Client Responsibilities
Timely Feedback and Approvals
The timely delivery of projects depends on the client providing feedback, approvals, content, and assets within agreed timeframes. Delays caused by the client — including late content delivery, delayed feedback, or slow approval of milestones — may extend the project timeline and, in some cases, affect the project cost. Code Nativex is not responsible for project delays caused by client-side delays.
Accuracy of Information
The client is responsible for ensuring that all information, content, and materials provided to Code Nativex are accurate, complete, and lawful. Code Nativex is not liable for errors or issues arising from inaccurate or incomplete information supplied by the client.
Legal Compliance
The client is responsible for ensuring that their business, website, and the content published on their platforms complies with all applicable local, national, and international laws and regulations. Code Nativex does not provide legal advice and is not responsible for the legal compliance of client content or business practices.
Limitation of Liability
No Consequential Damages
To the maximum extent permitted by applicable law, Code Nativex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, or loss of goodwill, arising out of or in connection with our services or these terms, even if we have been advised of the possibility of such damages.
Maximum Liability
Our total cumulative liability to you for any claims arising out of or related to our services shall not exceed the total amount paid by you to Code Nativex for the specific service giving rise to the claim in the three months preceding the claim.

Prohibited Use
Unacceptable Projects
Code Nativex reserves the right to decline any project at our sole discretion. We will not build products or services that facilitate illegal activities, promote hate speech or discrimination, enable fraud or deception, violate the intellectual property rights of third parties, or that we otherwise deem harmful, unethical, or contrary to our values.
Misuse of Our Website
You agree not to use the Code Nativex website in any way that is unlawful, harmful, or disruptive. This includes attempting to gain unauthorized access to our systems, introducing malware or malicious code, scraping our website content without permission, or engaging in any activity that places an unreasonable load on our infrastructure.
Governing Law & Disputes

These Terms and Conditions are governed by and construed in accordance with the laws of Pakistan. For international clients, we operate under these terms as a baseline, and any additional legal requirements specific to your jurisdiction remain your responsibility.
Dispute Resolution
In the event of a dispute arising out of or in connection with these terms or our services, both parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved informally within 30 days, both parties agree to pursue formal mediation before resorting to litigation.
Changes to These Terms
Right to Modify
Code Nativex reserves the right to update or modify these Terms and Conditions at any time. Changes will be posted on this page with an updated effective date. Your continued use of our website or services following the posting of updated terms constitutes your acceptance of those changes. We encourage you to review these terms periodically.
Severability
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable under applicable law, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.
